Sourcing & Order Facilitation Agreement

Please read these Terms and Conditions carefully before submitting a sourcing request or completing a purchase. By using the services of LINK PULSE LTD, you explicitly agree to be bound by this legally binding agreement.

1. Scope of Service and Definition of Roles

LINK PULSE LTD, a company registered in Cyprus, with its registered address at Agiou Artermiou 6, 7102, Aradippou, Cyprus (hereafter referred to as "the Company," "we," "us," or "our"), operates strictly as a procurement research and administrative facilitation service provider.

No Inventory or Ownership: The Company does not manufacture, stock, own, possess, or physically inspect any inventory or goods.
Independent Third-Party Suppliers: All products sourced through our platform are manufactured, sold, packed, and shipped entirely by independent third-party manufacturers, wholesalers, or merchants located in China (hereafter referred to as "the Supplier").
The Transactional Flow: When you submit a request and execute a payment, you are appointing the Company as an administrative agent to locate a third-party Supplier matching your submission and to transmit your payment to that Supplier. The sales contract for the physical product exists strictly between you (the Customer) and the independent Supplier.

2. User Warranty: Strict Prohibition of Counterfeits and Intellectual Property Infringement

By uploading any image, providing product descriptions, or submitting a sourcing request to the Company, you (the Customer) explicitly warrant, represent, and guarantee that:

The item requested is a generic, unbranded, or fully authorized consumer product.
The requested item does not infringe upon the trademarks, copyrights, patents, trade dress, design rights, or any other intellectual property rights of any brand, manufacturer, designer, or third party globally.
You are not utilizing our service, platform, or administrative infrastructure to procure, import, or distribute counterfeit, replicated, imitation, knock-off, or unauthorized branded goods.

The Company reserves the absolute right to terminate your user access, close your account, and cancel any pending orders immediately and without notice if we suspect, in our sole discretion, a violation of this section.

3. Customer as the Sole Importer of Record

You explicitly acknowledge and agree that you are the sole Importer of Record for any goods ordered and facilitated through this service into your final destination country.

Customs Compliance: You assume 100% responsibility for complying with all local import laws, regulations, taxes, duties, and restrictions of your jurisdiction.
Seizures and Liquidated Damages: If a package is delayed, opened, destroyed, or permanently seized by Customs authorities, border control, or law enforcement due to suspected trademark infringement, counterfeit nature, or any other import violation, the Company bears zero liability. No refunds, credits, or replacements will be issued for items seized or destroyed by government authorities. Any administrative, civil, or criminal penalties or fines levied by authorities remain your sole personal responsibility.

4. Absolute Limitation of Liability and Disclaimer of Warranties

The Company provides its sourcing facilitation service strictly on an "as-is" and "as-available" basis.

To the maximum extent permitted by applicable law, the Company disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Because the Company does not physically handle, store, or inspect the inventory at any stage, the Company cannot and does not verify whether an item is genuine, authorized, or counterfeit.
The Company shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages—including but not limited to loss of personal or business profits, payment gateway account closures, asset freezes, legal expenses, or reputational damage—resulting from your use of our facilitation service or products manufactured and shipped by third-party Suppliers.

5. Indemnification

You agree to defend, indemnify, and hold completely harmless LINK PULSE LTD, its corporate officers, directors, employees, founders, and payment processing partners from and against any and all third-party claims, civil liabilities, losses, damages, costs, or expenses (including reasonable attorneys' fees, expert fees, and court costs) arising out of or relating to:

Your breach of any warranty, covenant, or representation contained in these Terms and Conditions (including, but not limited to, providing photos of branded or counterfeit items for sourcing).
Any claim or lawsuit initiated by a third-party brand owner or intellectual property holder asserting that an item you requested via our platform violates their trademark, copyright, design right, or patent.
Any regulatory, civil, or administrative actions taken against us by payment processors, acquiring banks, merchant gateways, or regulatory bodies resulting directly or indirectly from a transaction you initiated for infringing or restricted goods.

6. Severability

If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that specific provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of this agreement shall remain in full force and effect.

7. Governing Law and Jurisdiction

These Terms and Conditions, your relationship with the Company, and any disputes arising out of or in connection with our services shall be governed exclusively by, and construed in accordance with, the laws of the Republic of Cyprus. You explicitly agree that any legal action, litigation, or dispute resolution proceeding arising directly or indirectly out of this agreement shall be submitted to the exclusive jurisdiction of the competent courts of Cyprus.
